Visitors and users (collectively "you" or "your") accessing or using Website or our mobile applications (the "Services"), you agree to be bound by this Terms of Use and our Privacy Policy currently found at Privacy Policy and incorporated herein by reference. This Terms of Use governs your and our rights and obligations with respect to any pictures, videos, information, tags, messages, graphics or other materials and any “collections” or “canvases” of the foregoing (collectively, the "Content"), uploaded, transmitted, tagged or posted (altogether, "Posted") by users in connection with the Services. In order to agree to the Terms of Use, you need to (1) be 18 or older or have your parent or guardian’s consent to agree to the Terms of Use, and (2) have the power to enter a binding contract with us and not be barred from doing so under any applicable law. If you do not agree to be bound by this Terms of Use, you are not permitted to use our Services. We may, at our sole discretion, modify or revise this Terms of Use and policies at any time by giving notice on our Website, and you agree to be bound by such modifications or revisions. All changes shall be effective immediately when we make them publicly available on the Website and shall apply to all access to and use of our Website thereafter. Nothing in this Terms of Use shall be deemed to confer any third-party rights, relationship, or benefits hereunder.

User Accounts

Users may create an Account for our Services ("Account”) by (i) agreeing to be bound by this Terms of Use, and (ii) completing signup. Users are responsible for providing and maintaining complete and accurate information for their Account. Users are responsible for maintaining the security and confidentiality of the Account and any password associated therewith. Users are responsible for all Content that is Posted to the Services using the Account; as well as any other activity originating from the user’s Account.

General Terms

Users are responsible for your use of our Services, for any Content you Post using the Services, and for any consequences or liability arising therefrom. As part of the Services, users provided various forms of content by (i) uploading Content from your device to our servers or (ii) copy sharing, and pasting links (iii) inputting text. Users should only provide Content in good taste and under this Terms of Use. Additionally, Services may include advertisements targeted to users, Content or queries, or other information and Services. Users acknowledge that we may not always identify paid services, sponsored Content or commercial communications. Furthermore, users are solely responsible for their interaction with other users and Services, whether online or offline. MeChat.us reserves the right, but have no obligation, to monitor or become involved in disputes between users.MeChat.us does not review new Content prior to it being Posted on Services. Users guarantee that you have the right to post this Content available for use in accordance herewith and agree that Content you Post to Services will not contain third-party copyrighted material, or material that is subject to other third-party rights (including rights relating to publicity and privacy), unless you have permission from the rightful owner of the material or you are otherwise legally entitled to Post the content.

CONTENT OWNERSHIP AND GRANT OF RIGHTS

MeChat.us do not claim any ownership in users Content; however, users grant MeChat.us all of the license rights granted herein so that we can operate, maintain, market, and improve our Services.

• MeChat.us and/or its third-party licensors retain ownership of all intellectual property rights in this Website, the Services and any software, mobile applications, web browser extensions and/or bookmarklets made available to you in connection with the Services (collectively, “Services”).
• Users give MeChat.us, its affiliates and its third-party providers and partners a non-exclusive, worldwide, royalty-free, sublicensable, transferable right and license to use, host, store, cache, reproduce, publish, display (publicly or otherwise), perform (publicly or otherwise), distribute, transmit, modify, adapt (including, without limitation, in order to conform it to the requirements of any networks, devices, services, or media through which the Services are available), copy and create derivative works of such Content (either alone or as part of a collective work). As part of the foregoing license grant (the "User Content License"), and without limiting the User Content License, you agree that (i) the other users of our Services shall have the right to comment on your Content and/or to use, publish, display, modify or include a copy of your Content as part of their own user profile and content (ii) MeChat.us have the right to make any of your publicly-Posted Content available to third parties, so that those third parties can distribute, make derivative works of, comment on and/or analyze your Content on other media and services (either alone or as part of a collective work). For the avoidance of doubt, you agree that our third-party content providers, partners and advertisers may display or feature any Content that you Post through our Services in their own Content and promotional material on our Website, including in their profiles on our Website.
• Because of the social nature of Content shared through our Services, when you Post something publicly on our Website or through our Services, others may choose to add descriptive commentary and tags to your Content and/or to Share your Content, making your Content part of a social conversation that cannot later be erased without retroactively censoring the speech of others and/or removing Content from another user’s profile. Users may adjust your privacy settings to make certain portions of your profile private, but the content that you post will still be available through our Services, and others may choose to add descriptive commentary and tags to your Content and/or to share your Content. As such, and in order to maintain the integrity of the Services, users agree that the rights that you have granted under the User Content License will continue to survive in perpetuity even if you stop using the Services or your Account is otherwise terminated.
• Upon termination of your Account or upon your deletion of any Content from the Services, MeChat.us shall make reasonable efforts to disassociate such Content from your Account; however, you acknowledge and agree that: (a) caching of, copies of, or references to such Content may not be immediately removed; (b) such removed Content may persist in backups for a reasonable period of time; and (c) such removed Content may continue to be publicly available (and stored on our or third party servers) through the Accounts of other users, if the same has been shared.

Community Standards: More Don’t’s

MeChat.us reserves the right to protect and defend the welfare of the community and resident’s health, safety, and constitutional rights, especially freedom of expression, of the press, the right of residents to peaceably assemble, petition, protest, and redress grievances using Services about Services. MeChat.us empowers users to remove themselves from Services which offends them.

MeChat.us was created in part with an anti-aggressive censorship policy; however, we do put our residents’ safety first and occasionally audit public data for compliance with this Terms of Use. In addition, MeChat.us does not consider illegal activity, spam, egregious abuse, or violations to this Terms of Use as rights protected from censorship. By signing up for MeChat.us, users agree to adhere to this Terms of Use. Failure to comply with this Terms of Use and these Community Standards will result in corrective actions in an attempt to resolve the violation and to prevent further violations. Not adhering to corrective actions could result in forfeiture of users right to access Services. For extreme violations MeChat.us may prosecute, as a corrective action, to the fullest extent of law, including prosecution to protect the integrity of Services. To prevent banned violators from signing up for new Accounts personal identifying information of removed violators remain stored on encrypted servers indefinitely.

Sharing Your Information

MeChat.us does not share our customer's personal information with third parties for direct marketing purposes. However, the following information may be shared as follows:

• Business Related: As needed to undergo a business transition, such as a merger, acquisition by another company, or sale of all or a portion of its assets, we may transfer your Personal Information to the successor organization in such transaction.
• Safety and Compliance with Law: MeChat.us may disclose any information, including Personal Information, we deem necessary to comply with any applicable law, regulation, legal process or governmental request, or to enforce our rights or to protect the safety and security of our Website or other users.
• To Third Parties: At times, third party companies are contracted to perform services on our behalf, including marketing assistance, e-mail delivery, hosting services, customer service, and data analysis. Third Parties are require to maintain the confidentiality of users Personal Information and are prohibited from using your Personal Information for any purpose other than to provide services.

General Rules

User will take all available steps and precautions to prevent fraud, theft, outdated, false, inaccurate, or incomplete information, or misappropriation of transactions. Users will not engage in activities or methods that may cause users to lose confidence or trust in Services.

Illegal Activity

Users may not use MeChat.us for activities that pertain to transactions involving: illegal narcotics, steroids, controlled substances, or other products that present a risk to consumer safety, items that encourage, promote, facilitate or instruct others to engage in illegal activity, stolen goods including digital and virtual goods, services that facilitate the financial exploitation of others, ammunition, firearms, firearm parts and/or accessories, weapons or knives that are unlawful in users’ domicile. Please follow the laws of your jurisdiction and adhere to prudence when in doubt.

Don’t make reports without evidence

If you don’t have evidence chances are we don’t either. Incomplete reports will be closed or put on hold until further evidence can be obtained.

Do not block Services of other users

The Urban Dictionary refers to this action as a “Hater, a person that simply cannot be happy for another person's success.” Do not engage in poor sportsmanship by attempt to sabotage a transaction or Service. Egregious Hater-ish actions, at MeChat.us’s discretion, may result in: suspension from Services including the right to enter into transactions, and/or loss of access to Services indefinitely.

Don’t engage with creepy users or jerks

MeChat.us has a relaxed free speech and expression policy; therefore, immature users (including haters) may outnumber mature users. Don’t be a jerk or engage with jerks or creeps.

Unauthorized Solicitation

Users should not ask for money or Services; accept through approved Services. Unauthorized Solicitation also includes consistently and intentionally, publishing off-topic in discussions. Please keep your comments relevant to the blurb or Services. Unauthorized Solicitation is a form of spam.

Prohibited Actions

Some content and actions are more egregious then others and while any content can be offensive some content is considered by MeChat.us to be Prohibited Actions. Prohibited Actions may even result in users arrest, irrespective of MeChat.us’s discretion, and includes, but is not limited to:

• Publishing nudity of other users, unless expressively permitted by Services.
• Sharing, or sending messages with imagery of children being sexually abused and/or exploited.
• Except through Government Approved and MeChat.us designated Services created specifically for purposes of reporting, finding, and eliminating illegal exploitation of children.
• Violating, or encouraging others to violate, any constitutional or legal right of users or Services, including uploading, publishing, mailing, transmitting, or otherwise making available any data that: infringes any intellectual property, could be defamatory, threatening, tortious, trade libelous, harassing, misappropriating, or misrepresenting any user, third-party, or Services.
• Unauthorized indecent, obscene, pornographic, sexually explicit or invasion of users privacy.
• Unauthorized access of users Identity or Account.
• Promotes extreme violence or cruelty to users or animals.
• Contains hate speech to spark violence, or war against users, regardless of their race or ethnic origin, religion, disability, gender, age, veteran status, and/or sexual orientation.
• Public disclosure of legally protected personal identifying information of other users.
• Interfering with or attempting to interrupt the proper operation of Services through the transmission of malicious code, virus, Trojan horses, adware, spyware, worm, device, information collection, transmission mechanism hacking, password or data mining, or any other means to disrupt Services including network, equipment, or other connected to or used by Services.
• Interfere with security-related features of Services, including “attempting to, including by: (i) disabling or circumventing features that prevent, limit use, or copy any Services data; (ii) reverse engineering or otherwise attempting to discover the source code of any portion of Services except to the extent that the activity is expressly permitted by applicable law and in partnership with MeChat.us; or (iii) using any device to bypass or interfere with Services.
• Using software, Services, or hardware that may damage, detrimentally interfere with, surreptitiously intercept, or expropriate any Services data.
• Fraudulent activity including impersonating residents, third parties, or Services, claiming a false affiliation, or falsifying your identity. Fraud also includes, but is not limited to: spam, generating invalid impressions, inorganic clicks on ads or by using automated programs, false representation, creating multiple unapproved Accounts, using different email addresses, or publishing click-bait ads.

Discouraged Actions

Violating Discouraged Actions or Restricted Actions, specially to evade temporary or permanent suspension, may result in users suspension, removal of users access to Services, legal action, suspended indefinitely, or outright expulsion from MeChat.us. Discouraged Actions are:

• Using Services to collect unauthorized information about users or third parties without consent, unless using approved Services specifically for the collection or review of information.
• Attempt to misuse badges, alter badges, falsely imitate badges, or place any badge or visual element on or near the Avatar or Security Ring (“BADGE REAL ESTATE”).
• Suppressing on-site voting rights including promoting content that mislead voters about the time, place, means or eligibility requirements for voting.
• Impersonating any user or entity or misrepresent your affiliation with a person or entity. Parody Accounts are allowed, but must be clearly labeled as a “PARODY ACCOUNT” in Credentials.
• Bullying or threating other users.
• Excessive vulgar language.
• Using automated bots, fake views, spider, other automatic device or manual process to use, access, monitor or copy Services.
• Spamming, incentivizing spam, or page crashing (“joining two or more users in excessively publishing duplicate or highly similar content over and over within a 4-hour period”).
• Engaging in a pyramid or other multi-tiered marketing scheme, unless using MeChat.us’s approved advertising or promotion Services.
• Using Services to engage in any commercial activities, including, without limitation, making any unsolicited offers; raising money; advertising or promoting a product, service, website or company, unless using MeChat.us’s approved advertising or promotion Services.
• Selling engagement metrics such as views, reactions, comments, or any metric boosting metrics.
• Interfering with or attempting to interrupt an investigation by MeChat.us.
• Having multiple unapproved Accounts on MeChat.us for any reason. Creating misleading Accounts with intent of manipulation.
• No name squatting. Do not Accounts primarily to hold onto a title or name with no intent to actively use the name. Accounts that appear to be inactive may be reclaimed by MeChat.us and given to another user actively seeking to use the name.
• MeChat.us reserves the right to reclaim usernames on behalf of businesses or individuals that hold a legitimate legal claim, copyright and/or trademark to names.
• Posting repetitive, clickbait, or untargeted content that:
• Promises residents they will see something but instead directs them to something else.
• Gets clicks, views, or traffic by promising quick money schemes that mostly do not work.
• Sends users to sites that spread malware or try to gather personal information.
• Has misleading metadata such as titles, thumbnails, description, or tags that trick residents into believing the data or Services is something it is not.

Additional Restricted Actions

The following is included in restricted actions:

• Users will not send or receive potentially fraudulent funds or sell, purchase, trade, or barter with intent of fraud or intimidation.
• Users will not use transactional services for unauthorized goods and services, including gambling and related activities, such as lotteries, bidding fee auctions, sports forecasting, or odds making, fantasy sports leagues, internet gaming, contests, sweepstakes, and games of chance that occurs on unapproved Services.
• Users will not abuse any promotional or referral program or use against the intention of said programs.
• Users will not resell, re-skin, or otherwise re-distribute Services.

MeChat.us reserves the right to keep our residents safe and will track transactions exhibiting terrorist activity such as purchasing explosives, including transactions of: toxic, flammable, radioactive materials, or other goods and Services subject to government regulation.

If users violate the Community Standards and this Terms of Use, MeChat.us reserves the right to use any Corrective Action as we deem appropriate in order to prevent future violation and violators. It is MeChat.us’s policy to promptly terminate users Accounts that are determined by MeChat.us to be repeat violators, or are a detriment to Services. Involuntary terminated Accounts, for any reason, are seized by MeChat.us.

Harassment Policy

MeChat.us does not tolerate unlawful harassment or any mistreatment of users regardless if harassment is occurring on Services or in the workplace. Depending on the seriousness of the situation users who are dealing with harassment should:

• Screenshot harassing details and report it immediately to Stop the Harassment here.
• Report harassment to local law enforcement.
• Block harassing users immediately to prevent most interactions.
• Users will not be able to see blocked Identities until you unblock the Identity.
• If users is under 18, have a parent or other adult help.

For clarity, harassment is the unwanted and unwarranted repetitive use of: words, signs, jokes, pranks, intimidations, physical contact, implied contact, or violence towards users. Harassment is not determined by the intent of the offender, if harassment has occurred it is subjective to how users welcomed your advances. When in doubt if the behavior or action is a form of harassment, just don’t do it. In addition, MeChat.us considers the following actions as harassment, but is not limited to:

• Repeatedly following and unfollowing the same Identity or user to the point of annoyance.
• Previously received high number of spam complaints.
• Unreasonably publishing content simultaneously, repeatedly and concurrently that constantly tag the same un-consenting users.

Discrimination

MeChat.us has a zero tolerance policy on discrimination on the basis of race, nationality, ethnicity, religion (or belief, where applicable), disability, sexual orientation, veteran status, or any other protected category under applicable federal law, and where applicable state and local law, including Title VII of the Civil Rights Act of 1964, the Age Discrimination Act of 1967, and the Americans with Disabilities Act of 1990.

Sexual Harassment

Sexual harassment includes unwelcomed sexual advances, requests for sexual favors, or other interaction suggesting sexual nature when users have been asked by another user to stop initiating sexual advances, or:

• Such action creates an intimidating environment;
• Such action unreasonably prevents users from effectively performing duties of their position; or
• Such action is made condition of employment or compensation, either implicitly or explicitly.

MeChat.us does not consider general, nonverbal, public publishing of sexual content that is in compliance with this Terms of Use as sexual harassment. MeChat.us does consider nonverbal sexual harassment directed at another resident as sexual harassment, especially if the data includes repetitive:

• distribution, display or discussion of any written or graphic sexual material, including calendars, posters and cartoons that are sexually suggestive;
• show hostility such as threats toward residents because of sex; or
• suggestive or insulting sounds, reactions, obscene gestures; or other forms of communication that are sexual in nature and offensive.

Sexual Harassment also includes physical sexual advances including unwelcome, unwanted physical contact, including touching, tickling, pinching, patting, brushing up against, hugging, cornering, kissing, fondling, and forced sexual intercourse or assault.

INTERNET SAFETY TIPS

Users are solely responsible for the confidentiality of their Identities and Account including: password safety, not clicking on email links that appear to be from MeChat.us unless the link opens MeChat.us, and not logging out. Users accepts responsibility for all activities that occur in users Account. Although MeChat.us secures your communications into the Community there are additional things users can do to protect your data and yourself inside of the Community by avoiding unnecessary risks by:

• Setting up 2-factor authorizations in Cloud Settings so that any unauthorized logins from suspicious devices has to be approved by you.
• Choosing an Alter Ego name that is unique and does not include any personal identifying information about you, unless that Identity calls for it.
• Do not let users convince you to do something that you are not comfortable with.
• Search regularly to ensure that your Identity is not being used and to ensure that your name is not included in anything that you do not approve of.
• Learn how to use Services properly by reading this Terms of Use in its entirely, regularly.
• Be on guard against phishing scams, including fake Fan requests and blurbs from users inviting you to visit other pages or sites that do not open on MeChat.us.
• Do not “accept” FanMail from users that you do not know, or that you suspect as spammers.
• Do not fall for tempting “Free” giveaways, contests or games, or participate in non-MeChat.us sanctioned quizzes or surveys - even if shared from Identities that you know. These are more than likely phishing scams other users have falling victim to and will allow hackers to inject malware onto your device or attempt to hack into your Account.
• Make sure your Internet connection is secure by using a secure password-protected Wi-Fi connection, and do not type in passwords when you go online in a public place.
• Public computers may have software that memorizes keystrokes, or unsuspected malware that could detect your keystrokes.
• DO NOT DOWNLOAD ANYTHING that is not from a trusted Identity.
• Never provide your Credentials or login information over email or through a response to an email request that appears to be from Services.
• Always log out of MeChat.us when you are done using Services, and log off public computers if you must use them.

Digital Millennium Act

MeChat.us complies with the provisions of the Digital Millennium Copyright Act applicable to Internet service providers (17 U.S.C. §512, as amended). If users believe that users work has been copied on Services in a way that constitutes copyright infringement, please file an Infringement Report by emailing: [email protected] RE:DCMA, with notice in accordance with the requirements of the Digital Millennium Copyright Act and this Terms, including:

• URL of content in question;
• A description of the copyrighted work that has been infringed;
• The place where such work is located, a screenshot is preferred;
• Copyright author’s description of the original;
• Copyright author’s description of how the original was created to include particulars such as any relationship to the violator;
• An authorized copy of the copyrighted work;
• A statement by copyright author, including language: “Made under penalty of perjury, I, the Author has good faith belief that the disputed Work is not authorized for use by (insert Identity of violator)”;
• A statement by copyright author, made under penalty of perjury, include language: “The information provided in notice is accurate and that user is the copyright author or is authorized to act on the copyright author’s behalf”; and
• An electronic or physical signature of the copyright author or the person authorized to act on behalf of copyright author.

Freedom of Expression

MeChat.us protects users’ freedom of expression. At the discretion of MeChat.us, protected content includes:

• Published by users as background music or entertainment purposes only; AND
• Published by users that is not:
  • For monetarily value or receiving anything of value; or
  • Egregiously or maliciously published.
  • Pretending to be the copyright author of Intellectual property.
  • Requested by the copyright author to be removed.

For clarity, MeChat.us does not permit copyright-infringing activities on Services.

Suspensions and Termination Policy

MeChat.us reserve the right to deny registration of any individual and to deny access to our Services to any individual, and to modify or terminate the Services, in each case, for any reason, with or without notice and at any time. Notwithstanding anything to the contrary herein, you acknowledge and agree that you shall have no ownership or other property interest in the user’s Account. MeChat.us will terminate a user’s access to the Services if, under appropriate circumstances, the user is determined to be a repeat infringer. MeChat.us also reserves the right to decide whether Content violates this Terms of Use for reasons other than copyright infringement, such as, but not limited to, pornography, obscenity, or excessive length. We may at any time, without prior notice and at our sole discretion, remove such Content and/or terminate a user’s Account for submitting such material in violation of this Terms of Use. Suspension and Termination of Account and Service. Generally, a User Account will be considered active until we receive a user request to deactivate or delete it. MeChat.us reserve the right to limit, suspend, terminate, modify, or delete (i) the user’s Account or (ii) your access to our Services or portions thereof (including any Content you or other users submit) for any reason, with or without notice and at any time, including, without limitation, if you are, or we suspect that you are, improperly using the Services, violating any applicable laws or failing to comply with this Terms of Use (including, without limitation, the "Community Standards" set forth in this Terms). MeChat.us reserve the right to force forfeiture of or reassign any username for any reason, with or without notice and at any time. We also reserve the right to stop offering and/or supporting the Services or any part of the Services at any time either permanently or temporarily, for any reason, with or without notice to you, at which point your use of the Services or any part thereof will be automatically terminated or suspended. We will not provide refunds, benefits or other compensation to users in connection with our exercise of any of our rights hereunder. Users may cancel any Account registered to you at any time by going to your Account Setting in your Depot.

Indemnification

Users hereby agree to defend, indemnify and hold us, our business partners, third-party suppliers and providers, licensors, officers, directors, employees, distributors and agents (collectively, the "Indemnified Parties") harmless from and against any damages, losses, liabilities, settlements, and expenses (including without limitation costs and reasonable attorneys’ fees) in connection with any claim or action that (i) arises from any alleged breach by you of this Terms of Use or any representations, warranties and/or covenants contained herein, (ii) arises from the Content or effects of any messages you Post using our Services, or (iii) otherwise arises from or relates to your use of our Services. In addition, you acknowledge and agree that the Indemnified Parties have the right to seek damages from you when you use our Services for unlawful purposes, in an unlawful manner, and/or in a manner inconsistent with this Terms of Use, and that such damages may include, without limitation, direct, indirect, special, incidental, cover, reliance and/or consequential damages.

Electronic Communications

Users consent to receive communications from us electronically. MeChat.us will communicate with users by e-mail to your registered email address or by posting notices on this Website and/or through our Services. Users agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.

Feeds

MeChat.us provides feeds containing worldwide users for the purposes of this Terms of Use for our Website and Services. MeChat.us reserves the rights to change features and Services at any time and to interfere and to disable access to the feeds and Services at any time for any reason.

Controlling Law, Arbitration, Class Waiver, and Waiver of Jury Trial

this Terms and the relationship between users and MeChat.us shall be governed by the laws of the State of Georgia without regard to its conflict of law provisions. Users agree to first contact MeChat.us regarding any claim or controversy arising out of or relating to this Terms or users participation in Services.

Users also agrees, with respect to any dispute with Released Parties arising out of or relating to this Terms, that users participation in Services is an acceptance that:

• USERS IS GIVING UP THE RIGHT TO SERVE AS A REPRESENTATIVE, AS A PRIVATE ATTORNEY GENERAL, OR IN ANY OTHER REPRESENTATIVE CAPACITY, OR TO PARTICIPATE AS A MEMBER OF A CLASS OF CLAIMANTS, IN ANY LAWSUIT INVOLVING ANY SUCH DISPUTE;
• USERS IS GIVING UP THE RIGHT TO HAVE A TRIAL BY JURY; AND
• USERS MUST FILE ANY CLAIM WITHIN 90 DAYS AFTER SUCH CLAIM AROSE OR IT IS FOREVER BARRED.

Improperly Filed Litigation

All claims users bring against MeChat.us or in respect of Services must be resolved in accordance with this Terms. All claims filed or brought contrary to this Terms shall be considered improperly filed which is a breach of this Terms. Force Majeure

MeChat.us shall not be liable for any issues or performance caused by circumstances beyond MeChat.us's reasonable control, including without limitation, acts of God such as flood, fire, earthquakes, plagues, pandemics, alien-in-nature (not of this world), or acts of governments to include: civil unrest, acts of terror, pandemics, presidential or congressional operations, war, strikes, or other labor problems, failures or delays.

No Waiver

If MeChat.us fails or delays in exercising any right, power or remedy, or to take action against any breaches of this Terms it does not mean that it waives its right at a later time to enforce the same.
