Notice of Arbitration; Process
Before contacting another agency for any dispute arising from users use of Services for any reason, users agree to Report a Grievance here to MeChat.us and allow MeChat.us 90 days to resolve your grievance before contacting a third party agency. Failure to notify MeChat.us of users grievance 90 days before contacting a third party to resolve users grievance will be considered a chargeback. For each chargeback that forced a fee upon MeChat.us will be paid by the violating users 150% of what we are charged. Users or MeChat.us (collectively in, “Parties”) will make good faith efforts to resolve the claim directly, but if Parties do not reach an agreement within 90 days after the Grievance Report is received, Parties may commence an arbitration proceeding. All arbitration proceedings between Parties will be confidential unless otherwise agreed by Parties in writing. During the arbitration, the amount of any settlement offer made by Party must not be disclosed to the arbitrator until after the arbitrator makes a final decision and award, if any. If the arbitrator awards Party an amount higher than the last written settlement amount offered by other Party in settlement of the dispute prior to the award, loosing Parties will pay to winning Parties the amount awarded by the arbitrator. Any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. The arbitration shall be conducted by telephone, online and/or be solely based on written submissions. Party initiating the arbitration shall choose the specific manner.
In addition, if users commence arbitration against MeChat.us in accordance with this Terms, MeChat.us will not reimburse users for payment of the filing fee, unless as decided in final award by arbitrator. Any arbitration hearing will take place at a location to be agreed upon in Atlanta, GA, but if the claim is for $10,000 or less, Prosecuting Parties may choose whether the arbitration will be conducted: (a) solely on the basis of documents submitted to the arbitrator; (b) through a non-appearance based telephone hearing; or (c) by an in-person hearing as established by the Arbitrary Rules in Atlanta, GA.
If the arbitrator finds that either the substance of Prosecuting Parties claim or the relief sought in the demand is frivolous or brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), then the Prosecuting Parties agrees to reimburse Defending Parties for any payment previously disbursed and of all fees incurred by the arbitration process. Regardless of the manner in which the arbitration is conducted, the arbitrator must issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the decision and award, if any, are based. The arbitrator may make rulings and resolve disputes as to the payment and reimbursement of fees or expenses at any time during the proceeding and upon request from either Party made within 14 days of the arbitrator’s ruling on the merits.

Improperly Filed Litigation
All claims users bring against MeChat.us or in respect of Services must be resolved in accordance with this Terms. All claims filed or brought contrary to this Terms shall be considered improperly filed which is a breach of this Terms. Should users file a claim contrary to this Terms, MeChat.us may recover attorney fees and costs (including in-house attorneys and paralegals), provided that MeChat.us has notified users, through Services, of the improperly filed claim and users have failed to promptly withdraw the claim.
MeChat.us shall not be liable for any issues or performance caused by circumstances beyond MeChat.us's reasonable control, including without limitation, acts of God such as flood, fire, earthquakes, plagues, pandemics, alien-in-nature (not of this world), or acts of governments to include: civil unrest, acts of terror, pandemics, presidential or congressional operations, war, strikes, or other labor problems, failures or delays.
If MeChat.us fails or delays in exercising any right, power or remedy, or to take action against any breaches of this Terms it does not mean that it waives its right at a later time to enforce the same.
MeChat.us primary operations is hosted and complies with applicable laws of United States of America; records official time based on USA Eastern Standard Time of Atlanta, GA. MeChat.us make no representation that Services is appropriate or available for use inside or outside of Atlanta, GA, United States. Services may be provided or accessed from countries or territories or by users where such access is illegal and prohibited. If users access Services users do so at your own risk. MeChat.us’s failure to exercise or enforce any legal right or remedy or provision or terms or amendments or motions or policy (collectively included in “Policy”) of this Terms (or which MeChat.us has the benefit of under any applicable Law) will not constitute a waiver of such Policy. This Terms is solely for MeChat.us’s convenience and for informational purposes only. MeChat.us reserves the right, in its sole discretion, to depart from the practices and standards set forth herein, and nothing in this Terms creates a right or the basis for a claim by users, third party, including a governmental entity, or is or should be construed as a promise or guarantee that MeChat.us will act in a given way in any particular circumstance.
Right to Assign
Users acknowledge and agree that due to the unique nature of MeChat.us there may be no adequate remedy at law for any breach of users obligations in this Terms. Any breach may allow users or third parties to unfairly compete with MeChat.us or Services resulting in irreparable harm to MeChat.us or Services. As such, upon any such breach or threat thereof, MeChat.us or Services shall be entitled to injunctions and other appropriate equitable relief in addition to whatever remedies it may have at law.
